The Vendor agrees to provide accurate, current, and complete information during the registration process and to maintain the accuracy of such information. 3. Campaigns and Services Vendors are allowed to create and manage WhatsApp campaigns for their own purposes or on behalf of their clients. The Vendor is solely responsible for ensuring that the campaigns adhere to applicable laws and regulations and that any third-party client campaigns are authorized. 4. Fees and Payments The Company may charge fees for using the Portal and its services, which will be outlined in the payment section of the Portal. Payment terms, including applicable taxes and payment schedules, will be specified for each campaign or service. Vendors are required to make timely payments as per the terms agreed upon during registration or campaign setup. 5. Intellectual Property The Portal and all related content, features, and functionalities are owned by Aviral Trendz Private Limited and are protected by intellectual property laws. The Vendor is granted a non-exclusive, non-transferable license to use the Portal solely for the purpose of running campaigns. The Vendor agrees not to copy, modify, distribute, or otherwise exploit the Portal's content without the express written consent of the Company. 6. Campaign Restrictions and Compliance Vendors are responsible for ensuring that the campaigns they create comply with all applicable laws, including but not limited to data protection and privacy laws (e.g., GDPR, CCPA). The Vendor agrees not to use the Portal for any illegal, harmful, or unethical purposes, including spamming, fraudulent activities, or violating the rights of third parties. 7. Liability and Indemnity The Vendor agrees to indemnify and hold harmless Aviral Trendz Private Limited, its affiliates, and its employees from any claims, losses, or damages arising from the Vendor's use of the Portal, including any legal claims resulting from the campaigns they create. The Company will not be liable for any indirect, incidental, or consequential damages resulting from the use of the Portal or the failure of any campaign. 8. Termination The Company reserves the right to suspend or terminate the Vendor's account and access to the Portal at any time for breach of these Terms and Conditions, fraud, or other reasons deemed appropriate by the Company. The Vendor may terminate their account by contacting the Company. Upon termination, any outstanding fees or obligations owed by the Vendor will remain due and payable. 9. Data Protection and Privacy The Vendor agrees to comply with all applicable data protection laws and regulations in handling customer data, including obtaining any necessary consents for the use of personal data in WhatsApp campaigns. The Company will process Vendor data in accordance with its privacy policy. 10. Amendments Aviral Trendz Private Limited reserves the right to amend or modify these Terms and Conditions at any time. Any changes will be posted on the Portal, and the Vendor's continued use of the Portal after such changes constitutes acceptance of the revised Terms and Conditions. 11. Governing Law and Dispute Resolution This Agreement is governed by the laws of India. Any disputes arising from or related to these Terms and Conditions will be resolved in the courts located in Surat, Gujarat.
